Agreement to Terms
By accessing or using the services provided by ReLoIT Inc. ("ReLoIT," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
Description of Services
ReLoIT provides managed security operations, IT services, consulting, and related technology services ("Services"). The specific scope of Services will be defined in a separate service agreement or statement of work.
Use of Services
Eligibility
You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization.
Account Responsibilities
If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
Acceptable Use
You agree not to:
- Use our Services for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the integrity of our Services
- Transmit any malicious code or harmful content
- Violate any applicable laws or regulations
Intellectual Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are owned by ReLoIT or our licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives the termination of these Terms.
Service Level and Support
Service levels, support hours, and response times will be specified in your service agreement. We will use commercially reasonable efforts to provide reliable Services but do not guarantee uninterrupted or error-free operation.
Payment Terms
Payment terms, fees, and billing schedules will be specified in your service agreement. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may be subject to interest charges and suspension of Services.
Limitation of Liability
To the maximum extent permitted by law, ReLoIT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of whether we have been advised of the possibility of such damages.
Our total liability for any claims arising out of or relating to these Terms or our Services shall not exceed the amounts paid by you to ReLoIT in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless ReLoIT and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Services or violation of these Terms.
Termination
Either party may terminate Services as specified in the applicable service agreement. We may suspend or terminate your access to our Services immediately if you breach these Terms or engage in conduct that we determine is harmful to our business or other users.
Dispute Resolution
Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Mesa, Arizona.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with any applicable service agreements, constitute the entire agreement between you and ReLoIT regarding the subject matter herein and supersede all prior agreements and understandings.
